This limited liability company does business as Sultan Chevron, a franchised gas station. Mr. Mann is solely responsible for managing the operations of the company.&#8221; <em>Id.<\/em><\/p>\n<p style=\"padding-left: 40px;\"><strong>[5]\u00a0 <\/strong>&#8220;Julie Zufall (f\/k\/a Julie Mikolajczak) worked for Cole&#8217;s Corner Market in 2013.&#8221; <em>Id.<\/em><\/p>\n<p style=\"padding-left: 40px;\"><strong>[6]\u00a0 <\/strong>&#8220;During Ms. Zufall&#8217;s term of employment, she sustained a shoulder injury and her doctor placed her on physical restrictions.&#8221; <em>Id.\u00a0<\/em>at 495-96.<\/p>\n<p style=\"padding-left: 40px;\"><strong>[7]\u00a0 <\/strong>&#8220;Her work at Cole&#8217;s Corner ended shortly thereafter. According to Ms. Zufall, her employment was terminated. Mr. Mann claims Ms. Zufall left voluntarily.&#8221; <em>Id. <\/em>at 496.<\/p>\n<p style=\"padding-left: 40px;\"><strong>[8]\u00a0 <\/strong>&#8220;Ms. Zufall sued Mr. Mann alleging that, in addition to several other claims, he failed to provide a reasonable accommodation for her shoulder injury in violation of the WLAD.&#8221;\u00a0<em>Id.<\/em><strong><br \/>\n<\/strong><\/p>\n<p style=\"padding-left: 40px;\"><strong>[9]\u00a0 <\/strong>&#8220;The parties filed cross motions for summary judgment. During the motions process, the parties took issue over whether Mr. Mann qualified as an employer under the WLAD, RCW <a href=\"https:\/\/app.leg.wa.gov\/RCW\/default.aspx?cite=49.60.040\" target=\"_blank\" rel=\"noopener\">49.60.040<\/a>(11), given the evidence that Cole&#8217;s Corner Market never employed at least eight persons.&#8221;<em> Id.\u00a0<\/em>(hyperlink added)<\/p>\n<p style=\"padding-left: 40px;\"><strong>[10]\u00a0 <\/strong>&#8220;Her work at Cole&#8217;s Corner ended shortly thereafter.&#8221; <em>Id.\u00a0<\/em>at 496.<\/p>\n<p style=\"padding-left: 40px;\"><strong>[11]<\/strong>\u00a0 &#8220;Ms. Zufall argued Mr. Mann did qualify as an employer because the Cole&#8217;s Corner employees could be combined with the employees of the Mann Group LLC under WAC <a href=\"https:\/\/gwilliamslaw.com\/wshrc-digest\/jurisdiction-counting-number-of-persons-employed\" target=\"_blank\" rel=\"noopener\">162-16-220<\/a>(6) to reach the statutory requirement of eight employees.&#8221;\u00a0<em>Id.\u00a0<\/em>(hyperlink added).<\/p>\n<p style=\"padding-left: 40px;\"><strong>[12]<\/strong>\u00a0 &#8220;The trial court ultimately issued a summary judgment order finding Mr. Mann qualified as an employer under the WLAD.&#8221; <em>Id.<\/em><\/p>\n<p style=\"padding-left: 40px;\"><strong>[13]<\/strong>\u00a0 &#8220;[T]he trial court ruled as a matter of law that Mr. Mann had sufficient employees to qualify as an employer under RCW <a href=\"https:\/\/app.leg.wa.gov\/RCW\/default.aspx?cite=49.60.040\" target=\"_blank\" rel=\"noopener\">49.60.040<\/a>(11).&#8221; <em>Id.\u00a0<\/em>(hyperlink added).<\/p>\n<p style=\"padding-left: 40px;\"><strong>[14]\u00a0 <\/strong>&#8220;Ms. Zufall&#8217;s WLAD claim thus survived summary judgment. Mann<\/a><\/em>, 1 Wn.App.2d 493, 498 (Wash.App. Div. 3 2017) (internal citation omitted). &#8220;Under this standard, we engage in the same inquiry as the trial court, viewing the facts and all reasonable inferences in the light most favorable to the nonmoving party.&#8221; <em>Id.<\/em> (internal citation omitted).<\/p>\n<p><a name=\"Washington Law Against Discrimination\"><\/a><\/p>\n<h3>2.\u00a0 WASHINGTON LAW AGAINST DISCRIMINATION (WLAD)<\/h3>\n<h5 style=\"padding-left: 40px;\">(A)\u00a0 DISABILITY DISCRIMINATION<\/h5>\n<p style=\"padding-left: 40px;\">&#8220;The WLAD prohibits an employer from firing an employee on the basis of disability.&#8221; <em>Id.<\/em> at 497 (<em>citing<\/em> RCW <a href=\"https:\/\/app.leg.wa.gov\/RCW\/default.aspx?cite=49.60.180\" target=\"_blank\" rel=\"noopener\">49.60.180<\/a>(2)).<\/p>\n<h5 style=\"padding-left: 40px;\">(B)\u00a0 DEFINITION OF EMPLOYER<\/h5>\n<p style=\"padding-left: 40px;\">&#8220;An &#8217;employer&#8217; is defined as &#8216;any person&#8217; who employs eight or more people.&#8221; <em>Id.<\/em> (<em>citing<\/em> RCW <a href=\"https:\/\/app.leg.wa.gov\/RCW\/default.aspx?cite=49.60.040\" target=\"_blank\" rel=\"noopener\">49.60.040<\/a>(11)).<\/p>\n<p style=\"padding-left: 40px;\"><em>EXEMPTION:<\/em> &#8220;If an employer does not have eight or more employees, then that employer is exempt from the provisions of the WLAD.&#8221; <em>Id.<\/em> (<em>referencing Griffin v. Eller<\/em>, 130 Wn.2d 58, 61, 63-64, 922 P.2d 788 (1996)).<\/p>\n<h5 style=\"padding-left: 40px;\">(C)\u00a0 DEFINITION OF PERSON<\/h5>\n<p style=\"padding-left: 40px;\">&#8220;The WLAD&#8217;s definition of &#8216;person&#8217; is broad and includes &#8216;individuals, partnerships, associations, organizations, corporations&#8217; among others.&#8221;\u00a0<em>Id.\u00a0<\/em>(<em>citing<\/em> RCW <a href=\"https:\/\/app.leg.wa.gov\/RCW\/default.aspx?cite=49.60.040\" target=\"_blank\" rel=\"noopener\">49.60.040<\/a>(19)).<\/p>\n<p><a name=\"Washington State Human Rights Commission\"><\/a><\/p>\n<h3>3.\u00a0 WASHINGTON STATE HUMAN RIGHTS COMMISSION (WSHRC\/HRC)<\/h3>\n<h5 style=\"padding-left: 40px;\">(A)\u00a0 AUTHORITY TO PROMULGATE WLAD RULES<\/h5>\n<p style=\"padding-left: 40px;\">&#8220;The legislature has authorized the Washington State Human Rights Commission (HRC) to promulgate rules for implementing the WLAD.&#8221;\u00a0<em>Id.\u00a0<\/em>(<em>citing<\/em>\u00a0RCW <a href=\"https:\/\/app.leg.wa.gov\/RCW\/default.aspx?cite=49.60.120\" target=\"_blank\" rel=\"noopener\">49.60.120<\/a>(3)).<\/p>\n<h5 style=\"padding-left: 40px;\">(B)\u00a0 OBJECTIVE OF HRC RULES<\/h5>\n<p style=\"padding-left: 40px;\">&#8220;One of the objectives of the HRC&#8217;s rules is &#8216;[t]o give effect to the purposes of the exemption of employers of less than eight from public enforcement of the law against discrimination, as identified in RCW <a href=\"https:\/\/app.leg.wa.gov\/RCW\/default.aspx?cite=49.60.040\" target=\"_blank\" rel=\"noopener\">49.60.040<\/a>.'&#8221; <em><a href=\"https:\/\/gwilliamslaw.com\/court-slips\/mikolajczak-v-mann\">Mikolajczak<\/a><\/em>, 1 Wn.App.2d at 497\u00a0(<em>citing<\/em> WAC <a href=\"https:\/\/gwilliamslaw.com\/wshrc-digest\/general-purpose-definitions\" target=\"_blank\" rel=\"noopener\">162-16-200<\/a>(2)(c)) (alteration in original) (hyperlink added).<\/p>\n<p style=\"padding-left: 80px;\"><em>RULES ARE CERTAIN AND EASY TO UNDERSTAND AND APPLY:<\/em> &#8220;[T]he HRC seeks to adopt rules that are &#8216;certain&#8217; and &#8216;easy to understand and apply.&#8217; This occasionally requires the HRC to &#8216;simply draw a line, although reasonable persons could differ as to where the line should be drawn.'&#8221; <em>Id.<\/em> (<em>citing<\/em> WAC <a href=\"https:\/\/gwilliamslaw.com\/wshrc-digest\/general-purpose-definitions\" target=\"_blank\" rel=\"noopener\">162-16-200<\/a>(2)(d)).<\/p>\n<h5 style=\"padding-left: 40px;\">(C)\u00a0 RULES FOR COUNTING EMPLOYEES<\/h5>\n<p style=\"padding-left: 40px;\">&#8220;Consistent with its purposes, the HRC has developed a rule to assist in the counting of employees.&#8221; <em>Id.<\/em> (<em>citing<\/em> WAC <a href=\"https:\/\/gwilliamslaw.com\/wshrc-digest\/jurisdiction-counting-number-of-persons-employed\" target=\"_blank\" rel=\"noopener\">162-16-220<\/a>(1)).<\/p>\n<h5 style=\"padding-left: 80px;\">(1)\u00a0 Payroll Method<\/h5>\n<p style=\"padding-left: 80px;\">Under the payroll method, &#8220;[a] person is typically considered an employee if the person appears on the employer&#8217;s payroll documents during the time period in which the alleged discrimination occurred.&#8221; <em>Id.<\/em> (<em>citing<\/em> WAC <a href=\"https:\/\/gwilliamslaw.com\/wshrc-digest\/jurisdiction-counting-number-of-persons-employed\" target=\"_blank\" rel=\"noopener\">162-16-220<\/a>(2); <em>also referencing Anaya v. Graham<\/em>, 89 Wn.App. 588, 591-93, 950 P.2d 16 (1998) (&#8220;referring to this as the &#8216;payroll method'&#8221;)).<\/p>\n<h5 style=\"padding-left: 80px;\">(2)\u00a0 Other Methods<\/h5>\n<p style=\"padding-left: 80px;\"><em>ENTITIES ARE MANAGED IN COMMON IN AREA OF EMPLOYMENT POLICY AND PERSONNEL MANAGEMENT:<\/em> &#8220;In addition to the payroll method, other subsections of WAC <a href=\"https:\/\/gwilliamslaw.com\/wshrc-digest\/jurisdiction-counting-number-of-persons-employed\" target=\"_blank\" rel=\"noopener\">162-16-220<\/a> may also be used for counting the number of employees. One of these other subsections is the primary issue in this appeal and provides:<\/p>\n<p style=\"padding-left: 120px;\"><em>Corporations and other artificial persons<\/em> that are in common ownership or are in a parent-subsidiary relationship will be treated as separate employers unless the entities are managed in common in the area of employment policy and personnel management. In determining whether there is management in common we will consider whether the same individual or individuals do the managing, whether employees are transferred from one entity to another, whether hiring is done centrally for all corporations, and similar evidence of common or separate management.<\/p>\n<p style=\"padding-left: 80px;\"><em><a href=\"https:\/\/gwilliamslaw.com\/court-slips\/mikolajczak-v-mann\">Mikolajczak<\/a><\/em>, 1 Wn.App.2d at 497-98 <em>(citing WAC<\/em> <a href=\"https:\/\/gwilliamslaw.com\/wshrc-digest\/jurisdiction-counting-number-of-persons-employed\" target=\"_blank\" rel=\"noopener\">162-16-220<\/a>(6)) (emphasis in original) (hyperlink added).<\/p>\n<h5 style=\"padding-left: 80px;\">(3)\u00a0 The Sole Proprietorship<\/h5>\n<p style=\"padding-left: 80px;\"><em>COMBINING EMPLOYEES:<\/em> &#8220;[T]he plain language of WAC <a href=\"https:\/\/gwilliamslaw.com\/wshrc-digest\/jurisdiction-counting-number-of-persons-employed\" target=\"_blank\" rel=\"noopener\">162-16-220<\/a>(6) does not allow combining the employees of a sole proprietorship with those of other entities.&#8221; <em><a href=\"https:\/\/gwilliamslaw.com\/court-slips\/mikolajczak-v-mann\">Mikolajczak<\/a><\/em>, 1 Wn.App.2d at 500. Accordingly, a sole proprietorship is neither a corporation nor an artificial person.<\/p>\n<h6 style=\"padding-left: 120px;\">a)\u00a0 Sole Proprietorship Is not a Corporation<\/h6>\n<p style=\"padding-left: 120px;\">&#8220;No matter how broadly one construes the term &#8216;corporation,&#8217; the concept does not cover a sole proprietorship.&#8221; <em>Id.<\/em> at 499. &#8220;A sole proprietorship is legally indistinguishable from its owner.&#8221; <em>Id.<\/em> (<em>citing Bankston v. Pierce County<\/em>, 174 Wn.App. 932, 937, 301 P.3d 495 (2013)).<\/p>\n<h6 style=\"padding-left: 120px;\">b)\u00a0 Sole Proprietorship Is not an Artificial Person<\/h6>\n<p style=\"padding-left: 120px;\">&#8220;Nor can a sole proprietorship qualify as an &#8216;artificial person.&#8217; To the contrary[ ][:]<\/p>\n<p style=\"padding-left: 160px;\">[T]he two terms are mutually exclusive. Because a sole proprietorship is indistinguishable from a natural person, it cannot also be an artificial person. There is simply no manner of interpreting an artificial person to cover a sole proprietorship.<\/p>\n<p style=\"padding-left: 120px;\"><em>Id.<\/em><\/p>\n<p><a name=\"Statutory Interpretation\"><\/a><\/p>\n<h3>4.\u00a0 STATUTORY INTERPRETATION<\/h3>\n<h5 style=\"padding-left: 40px;\">(A)\u00a0 PLAIN MEANING RULE<\/h5>\n<p style=\"padding-left: 40px;\">&#8220;As is true of statutes, we interpret agency rules according to their <a href=\"https:\/\/gwilliamslaw.com\/the-plain-meaning-rule\" target=\"_blank\" rel=\"noopener\">plain meaning<\/a>.&#8221; <em>Id.<\/em> at 498 (<em>citing Hegwine v. Longview Fibre Co.<\/em>, 162 Wn.2d 340, 349, 172 P.3d 688 (2007)). &#8220;Each word in an agency rule must be given &#8216;its common and ordinary meaning, unless the word is <a href=\"https:\/\/gwilliamslaw.com\/the-plain-meaning-rule\" target=\"_blank\" rel=\"noopener\">ambiguous<\/a> or defined in the regulation.'&#8221; <em>Id. <\/em>(<em>citing Grays Harbor Energy, LLC. v. Grays Harbor County<\/em>, 175 Wn.App. 578, 584, 307 P.3d 754 (2013)).<\/p>\n<h5 style=\"padding-left: 40px;\">(B)\u00a0 LIBERAL CONSTRUCTION RULE (HRC)<\/h5>\n<p style=\"padding-left: 40px;\">&#8220;We liberally construe the terms of the HRC&#8217;s rules to protect against discrimination.&#8221; <em>Id.<\/em> (<em>citing Phillips v. City of Seattle<\/em>, 111 Wn.2d 903, 908, 766 P.2d 1099 (1989)).<\/p>\n<h5 style=\"padding-left: 40px;\">(C)\u00a0 RULE AGAINST STATUTORY\/REGULATORY REDRAFTING<\/h5>\n<p style=\"padding-left: 40px;\">Washington State courts &#8220;cannot engage in statutory or regulatory redrafting.&#8221; <em>Id.<\/em> (<em>citing Hegwine<\/em>, 162 Wn.2d at 352, 172 P.3d 688).<\/p>\n<h5 style=\"padding-left: 40px;\">(D)\u00a0 THE IMPLEMENTING RULE<\/h5>\n<p style=\"padding-left: 40px;\">&#8220;If a particular discrimination claim is plainly left uncovered by both the WLAD and the HRC&#8217;s implementing rules, it will not merit relief.&#8221; <em>Id.<\/em> at 498-99.<\/p>\n<p style=\"padding-left: 80px;\"><strong><em>&#8220;CORPORATION&#8221; AND &#8220;ARTIFICIAL PERSON&#8221; ARE UNDEFINED:<\/em><\/strong> &#8220;Neither the WLAD nor the HRC&#8217;s implementing rules define what is meant by a &#8216;corporation&#8217; or &#8216;artificial person.'&#8221; <em>Id.<\/em> at 499. &#8220;However, the meaning of these terms is readily discerned[ ][:]<\/p>\n<p style=\"padding-left: 120px;\">[(1)] A corporation is an artificial being, invisible, intangible, and existing only in contemplation of law.<\/p>\n<p style=\"padding-left: 120px;\">[(2)] An &#8220;artificial person&#8221; is &#8220;[a]n entity, such as a corporation, created by law and given certain legal rights and duties of a human being.&#8221;<\/p>\n<p style=\"padding-left: 80px;\"><em>Id.<\/em> (internal citations omitted) (fifth alteration in original).<\/p>\n<hr \/>\n<p><em><strong><img data-recalc-dims=\"1\" loading=\"lazy\" decoding=\"async\" class=\"alignleft wp-image-135 size-full\" src=\"https:\/\/i0.wp.com\/gwilliamslaw.com\/court-slips\/wp-content\/uploads\/2021\/07\/information-e1626306187489.jpg?resize=50%2C50&#038;ssl=1\" alt=\"Court Slips: Issues Section\" width=\"50\" height=\"50\" \/>ISSUES SECTION:<\/strong> The following section explains the court&#8217;s treatment of this case by separately presenting each issue followed by associated rules, analysis, and conclusion. Woodward<\/em>, 17 U.S. (4 Wheat.) 518, 636, 4 L.Ed. 629 (1819); <em>see also Diaz v. Wash. State Migrant Council<\/em>, 165 Wn.App. 59, 76, 265 P.3d 956 (2011).<\/p>\n<p style=\"padding-left: 160px;\">An &#8220;<strong>artificial person<\/strong>&#8221; is &#8220;[a]n entity, such as a corporation, created by law and given certain legal rights and duties of a human being.&#8221; BLACK&#8217;S LAW DICTIONARY 1325 (10th ed. 2014).<\/p>\n<p style=\"padding-left: 120px;\"><em>Id.<\/em> at 499 (paragraph formatting and emphasis added).<\/p>\n<h6 style=\"padding-left: 120px;\">b)\u00a0 A sole proprietorship is not a corporation<\/h6>\n<p style=\"padding-left: 120px;\">&#8220;No matter how broadly one construes the term &#8216;corporation,&#8217; the concept does not cover a sole proprietorship.&#8221; <em>Id.<\/em> at 499. &#8220;A sole proprietorship is legally indistinguishable from its owner.&#8221; <em>Id.<\/em> (<em>citing Bankston v. Pierce County<\/em>, 174 Wn.App. 932, 937, 301 P.3d 495 (2013)).<\/p>\n<p style=\"padding-left: 120px;\"><em>ANALYSIS:<\/em> In &#8220;this case, Cole&#8217;s Corner Market and Balbir Mann are one and the same. Mr. Mann is personally responsible for the employees of Cole&#8217;s Corner Market, just as he would be had he employed the same persons under his own name.&#8221; <em>Id.<\/em><\/p>\n<p style=\"padding-left: 160px;\"><em>NOTE:<\/em> &#8220;This is fundamentally distinct from a corporation. An individual is not personally responsible for a corporation&#8217;s employees even if the corporation is closely held.&#8221; <em>Id.<\/em> (<em>citing\u00a0Patten v. Ackerman<\/em>, 68 Wn.App. 831, 834-35, 846 P.2d 567 (1993)).<\/p>\n<h6 style=\"padding-left: 120px;\">c)\u00a0 A sole proprietorship is not an &#8220;artificial person&#8221;<\/h6>\n<p style=\"padding-left: 120px;\">&#8220;Nor can a sole proprietorship qualify as an &#8216;artificial person.'&#8221; <em>Id.<\/em> at 499.<\/p>\n<p style=\"padding-left: 120px;\"><em>ANALYSIS:<\/em> To the contrary[ ][:]<\/p>\n<p style=\"padding-left: 160px;\">[T]he two terms are mutually exclusive. Because a sole proprietorship is indistinguishable from a natural person, it cannot also be an artificial person. There is simply no manner of interpreting an artificial person to cover a sole proprietorship.<\/p>\n<p style=\"padding-left: 120px;\"><em>Id.<\/em><\/p>\n<h5 style=\"padding-left: 80px;\">(2)\u00a0 Conclusion<\/h5>\n<p style=\"padding-left: 80px;\"><em>WAC 162-16-220(6) DOES NOT APPLY TO PLAINTIFF&#8217;S EMPLOYER:<\/em> &#8220;Because a sole proprietorship is neither a corporation nor an artificial person, WAC <a href=\"https:\/\/gwilliamslaw.com\/wshrc-digest\/jurisdiction-counting-number-of-persons-employed\" target=\"_blank\" rel=\"noopener\">162-16-220<\/a>(6) plainly does not apply to Ms. Zufall&#8217;s employer, Cole&#8217;s Corner Market.&#8221; <em>Id.<\/em> at 499-500 (hyperlink added).<\/p>\n<p style=\"padding-left: 120px;\"><em>NOTE:<\/em> &#8220;While there is evidence in the record that Mr. Mann managed both Cole&#8217;s Corner Market and the Mann Group LLC, that evidence is irrelevant because the plain language of WAC <a href=\"https:\/\/gwilliamslaw.com\/wshrc-digest\/jurisdiction-counting-number-of-persons-employed\" target=\"_blank\" rel=\"noopener\">162-16-220<\/a>(6) does not allow combining the employees of a sole proprietorship with those of other entities.&#8221; <em>Id.<\/em> at 500 (hyperlink added).<\/p>\n<p style=\"padding-left: 80px;\"><em>WHAT&#8217;S REQUIRED:<\/em> &#8220;Absent a determination to disregard the corporate form of the Mann Group LLC (and thereby attribute its employees directly to Mr. Mann), Cole&#8217;s Corner Market only can qualify as an employer under the WLAD if it employs eight or more persons, or if the eight-person threshold can be achieved by combining the employees of Cole&#8217;s Corner with other qualifying employees of Mr. Mann.&#8221; <em>Id.<\/em><\/p>\n<h5 style=\"padding-left: 40px;\">(B)\u00a0 REVERSED-REMANDED<\/h5>\n<p style=\"padding-left: 40px;\">&#8220;The trial court&#8217;s order denying Mr. Mann&#8217;s motion for summary judgment under the WLAD is reversed.&#8221; <em>Id.<\/em> at 500.<\/p>\n<p style=\"padding-left: 40px;\">&#8220;The trial court&#8217;s summary judgment order, ruling Mr. Mann is an employer for purposes of the WLAD, is reversed.
